Southamerican Sailing Federation Constitution
1. NAME, VENUE AND AIMS
1.1(Name and Venue)
The name of the Federation is “Southamerican Sailing Federation” hereinafter referred to as SSF. This Federation is a non-profit association. The legal address shall be its President´s address.
The SSF is continuing of the “Southamerican Sailing Federation” founded on 1983 on ocassion of the “Cruz del Sur” Games (known as today as ODESUR Southamerican Sports Games).
1.2 (Aims)
Its aims are:
a. To promote the sport of sailing in the region, organizing international regattas under ISAF rules.
b. To carry out all the necessary activities for the development of the sport.
c. To represent and conduct the sport of sailing in the ODESUR Southamerican Games.
d. To develop friendship, union, sport spirit and fair play between southamerican sailors.
e. To achieve a major participation of the region in the international organizations.
1.3 (Language)
The official languages of the Federation are spanish and portuguese.
2. MEMBERS
2.1 Its members shall be all the governing entities from this region who control the sport of sailing in their country, are recognized by its National Olympic Committee and who are members of the International Sailing Federation. Only one member per country shall be recognized and its registration shall be granted by the General Assembly, placed by the Executive Committee.
3. SUBSCRIPTION FEES
3.1 Each member shall pay an annual subscription fee determined by the Assembly.
4. ORGANIZATION
4.1 The SSF bodies shall be the General Assembly and the Executive Committee.
5. THE GENERAL ASSEMBLY
5.1 The General Assembly is the SSF maximun authority.
5.2 The General Assembly shall be composed of all the National Entity Members who may appoint one delegate. The delegate shall have one vote.
5.3 The General Assembly decisions shall be taken by simple majority of present votes. The Constitution amendment shall need a special majority of two thirds of the present votes. In case there is a tie the President will tiebreak by voting again.
5.4 The General Assembly may appoint Honourary Members in accordance with the rules.
5.5 The Assembly calling notice shall be communicated at least 45 running days detailing time, place and agenda. The time and place shall be determined by the Executive Committee.
5.6 There shall be one annual Ordinary General Assembly which shall be held in a different country each time. 40 % of the members or the Executive Committee may call for an Extraordinary General Assembly.
The Ordinary General Assembly Agenda shall include the following:
a. Minutes of the previous Assembly.
b. Memory of the previous year.
c. President´s report.
d. Balance and Finance.
e. Executive Committee election, if
f. Submissions proposed by the Executive Committee.
6. EXECUTIVE COMMITTEE
6.1 The Executive Committee shall be elected for a 4 year term between the candidates proposed by the General Assembly.
6.2 The Executive Committee shall consist of the President, Vicepresident and Secretary-Treasurer.
6.3 The Executive Committee is responsible for carrying out the direction of the SSF and for any other matter which has not been delegated to another body of the SSF. Decision shall be taken by simple majority of present votes. Each member shall have one vote. In case of tie, the President shall tiebreak.
6.4 The President is the legal representant of the SSF and before all national and international organizations.
6.5 The Vicepresident shall replace the President in case of temporary or final absency or when required.
6.6 The Secretary-Treasurer shall be responsible for carrying out all the decisions taken by the General Assembly and the Executive Committee; and the finance administration of the SSF. He shall present a complete report including finance and Executive Committee management before the Ordinary General Assembly.
6.7 The Executive Committee shall create special committees when convenient and shall rule its acitivity.
7. ARBITRATION
7.1 Any controversy regarding the decisions taken by the SSF´s bodies related to this Constitution and its Rules, shall be exclusively raised to the Southamerican Sports Court, according to its Sports Arbitration Rules, who shall pronounce its decision which shall be final and unappelable.
