ESTATUTO CONFEDERACIÓN SUDAMERICANA DE VELA

1. NOMBRE, SEDE Y FINES

1.1 - Nombre y Sede

El nombre de la Asociación es “Confederación Sudamericana de Vela” (CSU). Es una asociación civil sin fines de lucro. Su domicilio legal será el del domicilio de su Presidente.
La presente es continuadora de la Confederación Sudamericana de Vela fundada en el año 1983 con motivo de los Juegos Deportivos “Cruz del Sur” (hoy Juegos Deportivos Sudamericanos ODESUR).

1.2 - Fines

Son sus fines:

a. La promoción del deporte de la Vela en la región, organizando regatas internacionales bajo las reglas de la ISAF.
b. La realización de todas las actividades necesarias para el desarrollo del deporte.
c. Representar y dirigir el deporte de la Vela en los Juegos Sudamericanos ODESUR.
d. Desarrollar la amistad, la unión, el espíritu deportivo y el juego limpio entre los deportistas náuticos sudamericanos.
e. Lograr una mayor presencia de la región en las organizaciones internacionales.

1.3 (Idiomas)

Los idiomas oficiales de la CSV son el castellano y el portugués.

2. MIEMBROS

2.1 Serán sus Miembros las entidades rectoras de la región que controle el deporte de la Vela en su país, que sean reconocidas por su Comité Olímpico Nacional y afiliadas a la ISAF. Será reconocido un solo Miembro por país y su incorporación deberá ser aprobada por la Asamblea General, a propuesta del Comité Ejecutivo.

3. CUOTAS DE AFILIACIÓN

3.1 Cada Miembro deberá pagar la cuota anual fijada por la Asamblea.

4. ORGANIZACIÓN

4.1 Los órganos de la CSV serán la Asamblea General y el Comité Ejecutivo.

5. ASAMBLEA GENERAL

5.1 La Asamblea General es la autoridad máxima de la CSV.

5.2 La Asamblea General estará integrada por las Entidades Nacionales Miembros y cada Entidad Nacional podrá designar un delegado. El delegado tendrá un voto.

5.3 Las decisiones de la Asamblea General serán tomadas por simple mayoría de votos presentes. La reforma del Estatuto necesitará una mayoría especial de 2/3 de los votos presentes. En caso de empate, el Presidente desempatará votando nuevamente.

5.4 La Asamblea General podrá designar a Miembros Honorarios, de acuerdo con la reglamentación.

5.5 La citación a Asamblea será comunicada con por lo menos 45 días corridos de anticipación detallando fecha, lugar y Orden del Día. La fecha y lugar será decidida por el Comité Ejecutivo.

5.6 Se realizará una Asamblea General Ordinaria anual, la que deberá realizarse en un país diferente cada vez. El 40% de los miembros o el Comité Ejecutivo podrán solicitar la convocatoria a Asamblea General Extraordinaria.

El Orden del Día de la Asamblea General Ordinaria deberá incluir los siguientes temas:

a. Lectura del Acta de la Asamblea anterior.
b. Consideración de la Memoria del año anterior.
c. Informe del Presidente.
d. Consideración el Balance y Movimiento de fondos.
e. Elección del Comité Ejecutivo, si correspondiera.
f. Consideración de los temas propuestos por el Comité Ejecutivo.

6. COMITÉ EJECUTIVO

6.1 El Comité Ejecutivo será elegido por el término de cuatro años de entre los candidatos propuestos a la Asamblea General.

6.2 El Comité Ejecutivo estará integrado por un Presidente, un Vicepresidente y un Secretario-Tesorero.

6.3 El Comité Ejecutivo es el responsable de la dirección de la CSV y de cualquier materia no delegada especialmente a otro órgano de la CSV. Las decisiones serán adoptadas por simple mayoría de los votos presentes. Cada miembro tendrá derecho a un voto. En caso de empate el Presidente desempatará.

6.4 El Presidente es el representante legal de la CSV y ante todas las organizaciones nacionales e internacionales.

6.5 El Vicepresidente reemplazará al Presidente en caso de ausencia temporal o definitiva y a su requerimiento.

6.6 El Secretario-Tesorero será responsable de la ejecución de las decisiones de la Asamblea General y del Comité Ejecutivo y de la administración de finanzas de la CSV. Deberá realizar un informe detallado de las finanzas y de la gestión del Comité Ejecutivo ante la Asamblea General Ordinaria.

6.7 El Comité Ejecutivo creará las comisiones especiales que considere conveniente y reglamentará su funcionamiento.

7. ARBITRAJE

7.1 Cualquier controversia surgida por las decisiones finales de los órganos de la CSV en relación al presente Estatuto y sus Reglamentos, será sometido exclusivamente al Tribunal Sudamericano del Deporte, conforme a su Reglamento de Arbitraje Deportivo, quien dictará su laudo, que será definitivo e inapelable.

Southamerican Sailing Federation Constitution

1. NAME, VENUE AND AIMS

1.1(Name and Venue)

The name of the Federation is “Southamerican Sailing Federation” hereinafter referred to as SSF. This Federation is a non-profit association. The legal address shall be its President´s address.

The SSF is continuing of the “Southamerican Sailing Federation” founded on 1983 on ocassion of the “Cruz del Sur” Games (known as today as ODESUR Southamerican Sports Games).

1.2 (Aims)

Its aims are:

a. To promote the sport of sailing in the region, organizing international regattas under ISAF rules.
b. To carry out all the necessary activities for the development of the sport.
c. To represent and conduct the sport of sailing in the ODESUR Southamerican Games.
d. To develop friendship, union, sport spirit and fair play between southamerican sailors.
e. To achieve a major participation of the region in the international organizations.

1.3 (Language)

The official languages of the Federation are spanish and portuguese.

2. MEMBERS

2.1 Its members shall be all the governing entities from this region who control the sport of sailing in their country, are recognized by its National Olympic Committee and who are members of the International Sailing Federation. Only one member per country shall be recognized and its registration shall be granted by the General Assembly, placed by the Executive Committee.

3. SUBSCRIPTION FEES

3.1 Each member shall pay an annual subscription fee determined by the Assembly.

4. ORGANIZATION

4.1 The SSF bodies shall be the General Assembly and the Executive Committee.

5. THE GENERAL ASSEMBLY

5.1 The General Assembly is the SSF maximun authority.

5.2 The General Assembly shall be composed of all the National Entity Members who may appoint one delegate. The delegate shall have one vote.

5.3 The General Assembly decisions shall be taken by simple majority of present votes. The Constitution amendment shall need a special majority of two thirds of the present votes. In case there is a tie the President will tiebreak by voting again.

5.4 The General Assembly may appoint Honourary Members in accordance with the rules.

5.5 The Assembly calling notice shall be communicated at least 45 running days detailing time, place and agenda. The time and place shall be determined by the Executive Committee.

5.6 There shall be one annual Ordinary General Assembly which shall be held in a different country each time. 40 % of the members or the Executive Committee may call for an Extraordinary General Assembly.

The Ordinary General Assembly Agenda shall include the following:

a. Minutes of the previous Assembly.
b. Memory of the previous year.
c. President´s report.
d. Balance and Finance.
e. Executive Committee election, if
f. Submissions proposed by the Executive Committee.

6. EXECUTIVE COMMITTEE

6.1 The Executive Committee shall be elected for a 4 year term between the candidates proposed by the General Assembly.

6.2 The Executive Committee shall consist of the President, Vicepresident and Secretary-Treasurer.

6.3 The Executive Committee is responsible for carrying out the direction of the SSF and for any other matter which has not been delegated to another body of the SSF. Decision shall be taken by simple majority of present votes. Each member shall have one vote. In case of tie, the President shall tiebreak.

6.4 The President is the legal representant of the SSF and before all national and international organizations.

6.5 The Vicepresident shall replace the President in case of temporary or final absency or when required.

6.6 The Secretary-Treasurer shall be responsible for carrying out all the decisions taken by the General Assembly and the Executive Committee; and the finance administration of the SSF. He shall present a complete report including finance and Executive Committee management before the Ordinary General Assembly.

6.7 The Executive Committee shall create special committees when convenient and shall rule its acitivity.

7. ARBITRATION

7.1 Any controversy regarding the decisions taken by the SSF´s bodies related to this Constitution and its Rules, shall be exclusively raised to the Southamerican Sports Court, according to its Sports Arbitration Rules, who shall pronounce its decision which shall be final and unappelable.
